A credit note (or credit memo) formally records that a customer is owed a credit against an existing invoice. It is issued when goods are returned, an invoice was overcharged, goods were damaged, or a discount needs to be applied after invoicing.

The credit note can be applied against the existing invoice, refunded, or carried forward against future invoices. It keeps your books clean by documenting the reduction without deleting or altering the original invoice.

What to include#

  • Seller and buyer. Your company name, address and tax ID; customer name, address and contact.
  • Credit note details. Credit note number, date of issue, and reference to the original invoice number/date being credited.
  • Reason for credit. Brief reason: returned goods, damaged goods, overcharge, discount, pricing error.
  • Items credited. List each item credited with description, quantity, unit price and amount credited (net of any restocking fee); calculate subtotal, tax and total credit.
  • Application of credit. How the credit will be applied: refund, applied to outstanding balance, or held against future invoices; payment method if refunded.

How to fill it in#

  1. Step 1: Reference the original invoice

Always tie the credit note to a specific invoice number so accounting is clear.

  2. Step 2: Itemise the credit

List each product/service credited individually rather than a lump sum; include tax.

  3. Step 3: State the reason

A short reason (return, damage, discount) keeps records auditable.

  4. Step 4: Decide on refund vs credit

Confirm with the customer whether they want a refund or a credit on account; process promptly.

  5. Step 5: Apply in your accounting system

Record the credit note in your books so AR is updated correctly; attach to the original invoice.

Questions

Credit note vs refund?

A credit note is the document; a refund is the action of returning money. Credit notes can also stay on account.

Can I edit the original invoice instead?

No — once issued, invoices should not be altered; credit notes provide a proper audit trail.

Does a credit note include tax?

Yes — reverse the VAT/GST/sales tax that was originally charged on the credited items.

Do I need one for small discounts?

Small goodwill discounts can be done via credit note; for future invoices just issue a new invoice at the lower price.

Is it legally required?

For VAT/GST registered businesses, credit notes are often required to reclaim output tax; best practice everywhere.
