GRAPHIC DESIGN AGREEMENT

This Graphic Design Agreement is made on [Effective date] between [Designer name] (the "Designer") and [Client name] (the "Client").

1. Project

The Designer will create [Project description], including the following deliverables:

2. Concepts and revisions

The Designer will present [Concept count] initial concepts. The Client chooses one, and the fee includes [Revision rounds] rounds of revisions to it.

3. Fees

The fee for the project is [Total fee].The Designer charges [Hourly rate] per hour, estimated at [Estimated hours] hours; the Designer will tell the Client before exceeding the estimate. A deposit of [Deposit amount] is due before work starts. Invoices are payable within [Payment days] days.

4. Ownership

On payment in full, the Designer assigns to the Client the copyright in the final approved designs. Concepts and drafts that were not chosen remain the Designer's.The Designer keeps the copyright and grants the Client an exclusive licence to use the final approved designs for [Licence scope].

5. Files

The Designer will deliver the editable source files with the final designs.The Designer will deliver the final designs as exported files. Editable source files are available for an additional [Source file fee].

The Designer may show the work in its portfolio once it has been published by the Client.

6. Cancellation

If the Client cancels the project, the Client will pay for work completed to date plus a cancellation fee of [Kill fee].

7. Governing law

This Agreement is governed by the laws of [Governing law].

Questions

Should I transfer copyright or license the design?

Clients usually expect to own a logo outright, so transfer on payment is common. For illustrations or artwork you may prefer to keep the copyright and license specific uses. One question switches between the two.

What is a kill fee?

A fee the client pays if they cancel the project after work has started, on top of paying for work done, to compensate for time you turned other work away.

Is it really free?
